Acceptance of Terms

By accessing and using the website and services of SonicFront d.o.o. ("we", "our", or "us"), you ("user", "client", or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and SonicFront. If you do not agree to these Terms, you must not access or use our website or services.

Fees and Payment

Service fees and payment terms will be specified in individual service agreements or proposals. Unless otherwise agreed:

• Fees are payable in Euros (EUR) unless otherwise specified
• Payment terms are typically 30 days from invoice date
• Late payment may incur additional charges as permitted by law
• All fees are exclusive of applicable taxes, which shall be added where required

Intellectual Property

All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, images, software, methodologies, and documentation, are the property of SonicFront or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our website and services for their intended purposes. You may not reproduce, distribute, modify, or create derivative works from our intellectual property without our express written consent.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our engagement. We are committed to maintaining the confidentiality of your business information, and you agree to respect the confidentiality of our proprietary methods, processes, and business information. Specific confidentiality obligations may be detailed in separate confidentiality agreements.

Limitation of Liability

To the maximum extent permitted by applicable law, SonicFront's liability for any claims arising from or related to our services shall be limited to the fees paid for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Business interruption or operational delays
• Loss of data or information
• Cost of substitute services or products
• Third-party claims or demands

Professional Standards

SonicFront is committed to providing services in accordance with professional industry standards and applicable regulations. However, our advice and recommendations are based on the information provided by clients and prevailing market conditions. Clients are responsible for making their own business decisions and implementing any recommendations in accordance with their specific circumstances and legal requirements.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms that is due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labour disputes, or technical failures. The affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact of such circumstances.

Governing Law

These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Republic of Croatia. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Croatia. For clients located in other EU member states, this choice of law and jurisdiction is made in accordance with applicable EU regulations on jurisdiction and choice of law.

Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you acknowledge that you have read and understood our Privacy Policy and consent to our data processing practices as described therein.

Termination

Either party may terminate ongoing service relationships in accordance with the terms specified in individual service agreements. In the absence of specific termination provisions:

• Either party may terminate with 30 days' written notice
• SonicFront may terminate immediately for breach of these Terms
• Termination does not affect obligations that have already accrued
• Confidentiality obligations survive termination

Modifications to Terms

SonicFront reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of our services after such modifications constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically for any changes.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be deemed deleted.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and SonicFront regarding the use of our website and services, and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
